These Terms of Service («Terms») govern your access to and use of the website donnet.design (the «Site») and the services provided through it (the «Service»), which is operated by GuneTech OÜ («we», «us», «our» or the «Operator»). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
1. ELIGIBILITY
You may use the Service only if you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding contract, or if you are at least 13 years of age and using the Service with the consent of a parent or legal guardian where applicable. In any case, to connect and use any third-party platform integration (including TikTok), you must also satisfy the minimum age and other requirements of that platform.
2. YOUR ACCOUNT
If the Service requires the creation of an account, you must provide accurate and complete information and keep your account credentials confidential and secure. You are responsible for all activity that occurs under your account and for notifying us immediately of any unauthorised use.
3. THIRD-PARTY INTEGRATIONS (INCLUDING TIKTOK AND META)
3.1 The Service may integrate with third-party platforms, including but not limited to TikTok and Meta (Facebook and Instagram), via the official tools made available by those platforms (for TikTok, the «Login Kit» and the «Content Posting API»; for Meta, «Facebook Login», the «Instagram Graph API», the «Instagram Messaging API», the «Pages API» and the «Messenger Platform»).
3.2 Connecting a third-party account is optional. When you choose to connect a third-party platform, you authorise us to access that account and to perform actions on your behalf strictly to the extent of the permissions and scopes that you authorise during the platform’s own authorisation flow.
3.3 TikTok in particular. By connecting your TikTok account to the Service, you authorise us to: (a) obtain your basic profile information made available through the user.info.basic scope; and (b) publish, upload, schedule and manage videos and other content on your TikTok account on your behalf (video.publish scope), in accordance with the captions, titles, privacy levels and other settings that you provide in the Service. We do not request or have access to your TikTok password.
3.4 Meta in particular. By connecting your Facebook or Instagram account(s) to the Service, you authorise us to: (a) obtain your basic public profile, your email address, and the list of Facebook Pages (and Instagram accounts) you manage that you choose to connect; (b) publish, upload, schedule and manage posts, reels and other content on the connected Facebook Pages and Instagram accounts on your behalf, in accordance with the captions, titles, scheduling and other settings that you provide in the Service; (c) read, moderate, reply to, hide and delete comments on your posts; and (d) send and receive direct and private messages on the connected accounts. We do not request or have access to your Facebook or Instagram password.
3.5 Auto-replies, webhooks and Meta messaging windows. The Service may subscribe to Meta webhooks so that, when a person comments on or sends a private message to a connected account, the Service can react in real time, including by generating and publishing an automatic reply on your behalf and notifying you or your internal teams. You acknowledge and agree that: – Automatic replies are published by us as your agent and on your behalf, and the wording, tone and decision logic of any automated reply (including any AI-generated content) is your sole responsibility. – Outbound messages through the Instagram Messaging API or the Messenger Platform are subject to Meta’s rules, including the 24-hour messaging window (within which a business may freely respond) and the specific message tags that permit certain message types outside that window. You are responsible for configuring any automatic or scheduled messages to comply with those rules. – Where any automated reply or notification processes personal data of your audience, this is done on your behalf and as your activity; you remain responsible for ensuring that the activity complies with applicable data-protection law and that you have the lawful basis to respond to those persons.
3.6 Audience data: roles. To the extent that the Service, on your instructions, processes personal data of the people who interact with the Facebook Pages and Instagram accounts you connect (for example the content of their comments, mentions or direct messages received through the webhooks), you are the data controller and we act as your data processor. We process that data only to provide the engagement features that you have enabled, do not use it for our own purposes, and make it available to you so that you can respond to it. You retain responsibility for any disclosure of that data to your own team or to third parties.
3.7 Third-party terms remain applicable. Your use of TikTok and any other connected platform remains subject to that platform’s own terms of service, community guidelines and policies, including (for Meta) the Meta Platform Terms, the Instagram Platform Policy and the Messenger and Instagram Messaging policies. We are not responsible for any action a platform may take regarding your account or your content, including the removal, moderation, restriction or demonetisation of content published through the Service.
3.8 Your responsibility for third-party content. The text, captions, hashtags, media, automated-reply wording and any other content that you configure in the Service for publication on a third-party platform is your sole responsibility. You must ensure that it complies with the applicable platform’s policies and with applicable law.
4. YOUR CONTENT
4.1 You retain ownership of all content that you submit, upload or schedule through the Service.
4.2 You grant us a worldwide, non-exclusive, royalty-free, revocable licence to host, transmit, process and publish that content to the third-party platforms you connect, strictly for the purpose of operating the Service and performing the actions you request.
4.3 You represent and warrant that you hold all necessary rights to your content and that publishing it through the Service on TikTok or any other platform does not violate the rights of any third party or the policies of the relevant platform. You are solely responsible for the content you publish.
5. ACCEPTABLE USE
You agree not to use the Service to: – upload, schedule or distribute content that is unlawful, infringing, defamatory, harassing, hateful, harmful, obscene or otherwise objectionable; – impersonate another person or entity, or misrepresent your affiliation; – transmit unsolicited communications, spam or automated content in breach of platform rules; – send messages outside the messaging windows permitted by a third-party platform, or use that platform’s message tags in a manner not permitted by the platform’s policies; – attempt to gain unauthorised access to the Service or to any third-party account; – use the Service in any manner that could damage, disable, overload or impair it; or – violate any applicable law or the terms and policies of the third-party platforms you connect, including the TikTok Community Guidelines and TikTok Terms of Service, the Meta Platform Terms, the Instagram Platform Policy and the Messenger and Instagram Messaging policies, including the 24-hour messaging window and the permitted message tags.
6. SUSPENSION AND TERMINATION
We may suspend or terminate your access to the Service at any time, without notice, if we believe you have violated these Terms or for any other reason we consider appropriate. You may stop using the Service at any time. Disconnecting a third-party account within the Service immediately ends the publication of new content to that account.
7. INTELLECTUAL PROPERTY
The Service, including its design, text, graphics and software, is owned by us or our licensors and is protected by intellectual property laws. «TikTok» and the TikTok logo are trademarks of TikTok Inc.; «Facebook», «Instagram», «Messenger», «Meta» and their associated logos are trademarks of Meta Platforms, Inc.; any other platform names are trademarks of their respective owners. The Service is not affiliated with, endorsed by, sponsored by or otherwise approved by TikTok, Meta or any other third-party platform, and references to such platforms are made solely for the purpose of describing integration functionality.
8. DISCLAIMER OF WARRANTIES
The Service is provided on an «as is» and «as available» basis. To the extent permitted by applicable law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any content published through the Service will produce a particular result on a third-party platform.
9. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, in no event shall we be liable for any indirect, incidental, special or consequential damages, or for any loss of profits, data or goodwill, arising out of or in connection with the Service, even if we have been advised of the possibility of such damages. Where applicable law does not allow the exclusion or limitation of certain damages, such exclusion or limitation shall apply to the maximum extent permitted.
10. INDEMNIFICATION
You agree to indemnify and hold harmless GuneTech OÜ and its directors, employees and affiliates from any claim, damage, loss or expense (including reasonable legal fees) arising out of your content, your use of the Service, or your violation of these Terms or the policies of any third-party platform you have connected.
11. CHANGES TO THESE TERMS
We may modify these Terms from time to time. We will post the updated version on this page and revise the «Last updated» date. Your continued use of the Service after the changes become effective constitutes acceptance of the updated Terms.
12. GOVERNING LAW AND DISPUTES
These Terms are governed by and construed in accordance with the laws of Estonia, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts of Estonia for any dispute arising out of or relating to these Terms or the Service.
